宜创助理用户协议

本协议说明宜创智维（山东）智能科技有限公司（“运营者”）提供的宜创助理（英文 Etron Vgent，历史名称宜创Vgent；iOS 应用标识 cn.net.etron.vgent）的服务使用规则。请结合隐私政策和适用的 App Store 许可及购买条款阅读。应用无需注册运营者账号。

1. 软件许可与适用范围

通过 App Store 获得的软件许可按 App Store 展示的适用许可协议执行；在未另行提供自定义许可协议时，适用 Apple 标准最终用户许可协议（https://www.apple.com/legal/internet-services/itunes/dev/stdeula/）。本页补充说明应用服务及使用规则，不替代该许可协议，也不限制适用法律赋予您的强制性权利。运营者负责本应用的支持与服务；Apple 并非本页所述业务记录服务的提供者。

2. 应用用途与结果核对

应用帮助您记录客户、商机、需求、报价、订单、跟进、交付及收款事项，并提供概览、提醒、试算、备份和导出。语音转写、信息提取、本机系统理解和业务试算可能受设备、语言、模型及输入质量影响，存在遗漏或错误。请在创建或修改资料前核对客户、金额、数量、日期和关联记录。应用不会代您签订合同、向客户承诺交期、确认实际成交或处理支付与资金；收款功能用于记录您确认已经发生的款项。业务金额使用人民币（CNY），切换英文界面不会改变业务币种。

3. 您录入的资料与合理使用

您保留对自己录入资料依法享有的权利。录入他人的联系信息、业务资料或录音前，请确保具备合法处理依据和必要授权，并在需要时告知相关人员。请勿利用应用侵犯隐私、商业秘密或知识产权，实施欺诈、违法行为，或破坏系统安全。软件及其界面的权利属于相应权利人；使用、复制及修改软件应遵守适用许可和法律允许的例外。接受本协议不构成将业务内容许可给运营者用于广告、公开数据集或模型训练。

4. 免费版与专业版内购

免费版最多保存 5 条商机和 5 条订单，两项独立计数，各阶段及已转单的商机均计入；删除当前记录可释放相应新增额度。客户、报价和快记不占这两项额度。专业版通过一次性非消耗型 App Store 内购永久解除商机和订单数量限制，不是订阅，不自动续费。价格、货币及购买确认以 Apple 购买页面为准。购买、付款、恢复及退款由 Apple 的相关流程处理；您可从设置中的方案入口进入购买和恢复购买。应用根据已验证的购买状态提供权益。达到免费额度或权益发生变化时，已有资料仍可查看、编辑和导出，继续新增受当前额度限制。永久解锁描述的是这项数量限制的购买权益，不表示无限存储空间、永久在线服务或对所有未来新增付费功能作出承诺。

5. 权限、同步、备份与删除

录音、通知、设备认证及 iCloud 同步按您选择启用；拒绝录音权限仍可手动录入。同步仅面向同一 Apple 账户的私有 CloudKit 数据库，不是团队共享服务。开启同步会上传并合并业务资料、录音和版本历史；关闭同步不会清除已有云端资料。同步不能替代独立备份。完整备份包含历史与录音且文件本身未加密，请妥善保管。恢复备份会改变当前可见资料并保留恢复前安全副本，重新开启同步后可能影响其他设备。删除当前记录不等于清除历史版本、旧录音、备份、云端或外部副本；当前版本没有一键清除全部历史的功能。具体保留、删除和请求渠道见隐私政策。

6. 可用性、责任与停止使用

功能可用性可能受系统版本、设备能力、权限、存储、网络、iCloud 或 App Store 状态影响；本机语音或系统模型不可用时仍可手动录入。请保留关键业务资料的独立副本，并核对同步、提醒和恢复结果。您可以停止使用应用或关闭可选服务；停止使用不会自动清除各处副本，也不会自动申请退款。本协议不免除或限制运营者依法不得免除或限制的责任，不排除消费者依法享有的退款、救济或其他权利。发生问题请先联系支持；无法协商解决的争议，可依适用法律向有管辖权的机构寻求救济。

7. 未成年人、更新与联系

Etron Vgent User Agreement

This agreement describes the rules for using Etron Vgent (Chinese name 宜创助理, formerly 宜创Vgent; iOS bundle identifier cn.net.etron.vgent), provided by Shandong Yichuang Zhiwei Intelligent Technology Co., Ltd. (Chinese legal name: 宜创智维（山东）智能科技有限公司, the “Operator”). Read it with the privacy policy and applicable App Store license and purchase terms. No Operator account registration is required.

1. Software license and scope

The software license is governed by the applicable license shown in the App Store. Where no custom license is supplied, Apple’s Standard EULA applies (https://www.apple.com/legal/internet-services/itunes/dev/stdeula/). This page explains additional service and use rules; it does not replace that license or restrict mandatory rights under applicable law. The Operator provides app support and service. Apple does not provide the business-record service described here.

2. Purpose and review of results

The app records customers, opportunities, requirements, quotations, orders, follow-ups, deliveries and payments, with summaries, reminders, estimates, backups and exports. Transcription, extraction, on-device understanding and estimates may be incomplete or inaccurate because of device, language, model or input limitations. Review customer identities, amounts, quantities, dates and linked records before creating or changing data. The app does not sign contracts, promise delivery dates, confirm real-world transactions or process money for you. Payment entries record funds you confirm have already been received. Business amounts use Chinese yuan (CNY); switching the interface to English does not change the currency.

3. Your information and permitted use

You retain the rights you lawfully hold in information you enter. Before entering others’ contact information, business data or recordings, ensure that you have a lawful basis and any necessary authorization, and provide notices where required. Do not use the app to infringe privacy, trade secrets or intellectual property, commit fraud or unlawful acts, or compromise security. Rights in the software and interface belong to their respective owners; use, copying and modification are subject to the applicable license and legal exceptions. This agreement does not grant the Operator permission to use your business content for advertising, public datasets or model training.

4. Free plan and Pro purchase

The free plan stores up to 5 opportunities and 5 orders, counted separately. All stages count, including opportunities converted to orders; deleting a current record frees the corresponding allowance. Customers, quotations and notes do not use these two allowances. A one-time non-consumable App Store Pro purchase permanently removes opportunity and order count limits. It is not a subscription and does not renew automatically. Apple’s purchase screen determines the price, currency and confirmation. Apple handles payment, restore and refund processes. Open the plan row in Settings to purchase or restore; the app grants features based on verified purchase status. Existing information remains viewable, editable and exportable when a free limit is reached or entitlement changes; further creation remains subject to the current allowance. Permanent unlocking describes this purchased removal of record limits, not unlimited storage, perpetual online services or every future paid feature.

5. Permissions, sync, backup and deletion

Recording, notifications, device authentication and iCloud sync are enabled by your choices. Manual entry remains available if recording permission is denied. Sync uses the same Apple Account’s private CloudKit database and is not a team-sharing service. Enabling sync uploads and merges business data, recordings and version history. Disabling it does not erase existing cloud data. Sync does not replace an independent backup. Full backups include history and recordings and are not themselves encrypted; keep them secure. Restoring changes current visible data and preserves a pre-restore safety copy; resuming sync may affect other devices. Deleting a current record does not erase historical versions, older audio, backups, cloud data or external copies. The current app has no one-tap purge of all history. The privacy policy explains retention, deletion and request channels.

6. Availability, responsibility and stopping use

Availability depends on the OS version, device capabilities, permissions, storage, connectivity and iCloud or App Store status. Manual entry remains available when local speech or system models are unavailable. Keep independent copies of important records and check sync, reminders and restore results. You may stop using the app or disable optional services. Doing so does not automatically erase copies elsewhere or request a refund. Nothing here excludes or limits liability that cannot lawfully be excluded or limited, or removes statutory refund, remedy or other consumer rights. Contact support about problems; unresolved disputes may be brought to a competent authority under applicable law.

7. Children, changes and contact

The app is not directed at children. Minors should use it with a guardian’s guidance and take care when entering their own or others’ information. We may update this agreement to reflect actual features and service rules and will show the date. Processing that requires separate authorization is not enabled merely by revising this text.
